May – November 2002 Two-Can Publishing (Zenith Entertainment Ltd.)
Interim Managing Director London and Princeton, New Jersey

This £2m turnover children’s publishing business had been acquired in 1999 but was no longer core to Zenith and was heavily loss making. The Board required that the business be sold by end September or closed down. Appointed as Managing Director, I took charge of both UK and USA operations at a time when senior managers were already leaving and morale was low.
· Took over control of the business from the UK General Manager (who then resigned), reviewed publishing programme and development spend to reduce cash outflows.
· Revised publishing and sales plans in the light of intended sale of the business, including stock reduction exercise to release working capital.
· Prepared a Sale Information Memorandum for both UK and USA businesses and presented to the Board for approval within 6 weeks of starting.

Two-Can Publishing (continued)
· Circulated Memorandum to target list of prospective buyers and responded to other requests obtained in response to trade press publicity.
· Handled due diligence exercise in UK and USA preparing further detailed information as necessary. This included careful interpretation of many contracts and assessment of the possible exposure of the Client.
· Headed the Zenith team (Finance Director, Head of Legal and external solicitor) in detailed contract negotiations with bidder.
· Sale Agreement signed for substantially full bid with effect 1st October.
· Maintained the running of the business throughout the sale exercise, including cash control and retaining relationships with key suppliers and customers.

Following the completion of the Sale, I agreed to stay on with the new owner for 1 month to assist with transition since no US staff were to transfer and only 1 UK employee remained by the end of the process. This included representing the new owner at Frankfurt Bookfair.

The sale transaction was completed in the required timescale and for a price exceeding the original expectations of the Board, given the state of the business.

· Regained control of the cash flow situation.
· Detailed analysis and modelling of income streams leading to recovery of revenue previously not achieved.

· Identified weaknesses in internal controls over turnover and margin and areas of risk to business continuity, implementing action plans to resolve the issues.

· Direct involvement in detailed legal documentation for investments made and board membership of new companies. Identification and disposal of non-core activities.
