Financial reporting improvements
Situation While performing the due diligence, the client asked me to identify shortcomings in the financial reporting of the target.

Action I reviewed the financial reporting from the various departments and conducted an information audit to identify what further information could be produced.

Result The new owners were able to extract more information regarding sales and customers to control their business better.

Project management
Situation Responsible for due diligence projects including the financial, pension and IT activities.

Action I was responsible for managing the progress of the due diligence from all departments, the communication of key findings to the client and assuring the timely deliverance of the reports.

Result Client saved time by having just one contact person who could discuss all matters of the due diligence. The work was finished on time and below budget providing complete customer satisfaction and repeat business.

Business analysis
Situation Responsible identifying loss making and low performing divisions.

Action I was involved in identifying and analysing divisions, which were not contributing (significantly) to the target’s profitability and determine the costs of divesting them.

Result The client was able to lower its offer price as several divisions were not included in the transaction.



Valuation
Situation Valuation of business despite poor management information.

Action Built and analysed valuation model as the forecast model devised by the target was considered to be of low quality.

Result A better understanding of the business resulting in a lower offer price.

Sales analysis
Situation Responsible for determining the dependency on the key customers.

Action Identify the key customer of the business through review of financial information and discussion with sales managers.

Result The results were used to determine the level of focus by management on the existing customers and the impact the acquisition would have on the customer relationship.

Cash flow analysis
Situation Responsible for improving the cash flow management.

Action Analysed the existing cash flow report and together with financial personnel and devised cash flow per division.

Result The results were used by management to improve existing cash flow management and to standardise it in the new financial reporting.
